Terms of Use

1. Terms of Service

These Terms of Use ("Terms") constitute an agreement between SharpAI LLC ("SharpAI", "Company", "we", "us") and the person or entity that downloads, installs, accesses, or uses the SharpAI Aegis desktop application, the Aegis AI API, the Storyboard mobile app (故事工坊), our websites, and related services ("You", "Your", "User"). These Terms have a common part (sections 1 to 14) and product sections for Aegis desktop, the Aegis AI API, Storyboard and websites. If a product section differs from the common part, the product section controls for that product.

Minimum age. You must be at least 16 years old to create an account or use our products, in every country. If You are younger, You may not use them.

If the person downloading or using the Software is an employee, agent, or contractor of a corporate entity and using the Software within the scope of their employment or primarily for the benefit of the corporate entity, these Terms are between the corporate entity and SharpAI — and the corporate entity is the User.

By downloading, installing, or using the Software, You agree to be bound by these Terms. If You do not agree to these Terms, You must not download or use the Software.

2. Definitions

  • "Software" means the SharpAI Aegis desktop application and the Storyboard mobile app made available by SharpAI to You via download, and any modified, updated, or enhanced versions that SharpAI makes available.
  • "Services" means the auto-update service, diagnostic reporting service, the Aegis AI API, the Storyboard cloud features, our websites, and any other services provided by SharpAI in connection with the Software.
  • "Content" means all data that You process with the Software or submit to the Services, including but not limited to video footage, images, photos, voice recordings, story text, comments, AI analysis results, chat conversations, and event timelines.
  • "Third-Party Products" means third-party software and services that the Software may integrate with, including camera providers (e.g., Blink, Ring), AI model providers (e.g., Google Gemini, OpenAI, Anthropic, LM Studio), and messaging platforms (e.g., Discord, Telegram).
  • "Documentation" means any published instructions, user manuals, and system requirements provided with the Software.

3. License Grant and Restrictions

License Grant

Subject to the terms and conditions of these Terms, SharpAI grants to You a non-exclusive, non-transferable, revocable license to use the Software solely for Your personal and/or internal business purposes and solely in accordance with the Documentation.

Restrictions on Use

You acknowledge that the Software and its structure, organization, and source code constitute valuable trade secrets and confidential information of SharpAI. You agree that You will not, and will not permit any third party to:

  • Modify, adapt, translate, or create derivative works from the Software;
  • Sublicense, distribute, sell, lease, rent, or otherwise transfer the Software to any third party;
  • Use the Software as a service bureau, application service provider, or software-as-a-service offering;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law;
  • Remove, alter, or obscure any copyright notices or proprietary rights notices included in the Software.

4. Your Content and Data

Ownership

You retain all rights, title, and interest in Your Content. SharpAI does not claim ownership of any video footage, images, photos, recordings, stories, AI analysis results, or other Content.

Licence to Your Content

You grant SharpAI a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display Your Content only as needed to provide and secure the Services to You and the people You choose (for example family members You invite or people You share a link with), including sending Content to the AI service providers described in the Privacy Policy for features You start. The licence ends when Your Content is deleted from the Services, subject to the retention described in the Privacy Policy.

Local Processing and Cloud Features

The Aegis desktop app is designed to process and store Content locally on Your device, and SharpAI does not have access to that locally stored Content unless You turn on a feature that transmits it, such as a third-party integration You configure. When You use the Aegis AI API, Storyboard, or another cloud feature, Your Content is sent to and processed by SharpAI and its service providers as described in the Privacy Policy.

Responsibility

You are solely responsible for the legality, reliability, and appropriateness of Your Content, including compliance with all applicable laws regarding video surveillance, recording, and privacy in Your jurisdiction.

If Your Content shows or includes other people (including children), You are responsible for having the right to add it and for informing those people where required. Do not upload unlawful or abusive content. You can report content in the app, and we may remove content or restrict accounts that violate these Terms or the law.

5. Third-Party Products and Services

The Software is designed to integrate with Third-Party Products. When You configure such integrations yourself, You communicate directly with those third-party services. Where the Aegis AI API or Storyboard sends Your Content to upstream or AI providers on Your behalf, the Privacy Policy describes that processing, and those providers' own terms also apply to them. SharpAI facilitates these integrations with the understanding that:

  • Third-Party Products are made available to You pursuant to separate agreements between You and the third-party provider;
  • You are responsible for ensuring that Your use of Third-Party Products complies with applicable laws and the terms of those third-party providers;
  • SharpAI is not liable for any failure, unavailability, or damages resulting from Your use of Third-Party Products;
  • Any rights or remedies related to Third-Party Products are governed entirely by Your agreement with the respective third-party provider.

6. Proprietary Rights

The Software, Documentation, and all worldwide intellectual property rights therein are the exclusive property of SharpAI and its suppliers. All rights in and to the Software not expressly granted to You in these Terms are reserved by SharpAI.

7. Disclaimers

General Disclaimer

THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS", "WITH ALL FAULTS" AND WITHOUT WARRANTY OF ANY KIND. THERE ARE NO EXPRESS, IMPLIED, OR STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SHARPAI DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR OPERATE WITHOUT INTERRUPTION.

Security System Disclaimer

THE SOFTWARE IS NOT A SUBSTITUTE FOR A PROFESSIONALLY MONITORED SECURITY SYSTEM. SHARPAI DOES NOT GUARANTEE THAT THE SOFTWARE WILL DETECT ALL EVENTS, THAT ALERTS WILL BE DELIVERED IN A TIMELY MANNER, OR THAT THE AI ANALYSIS WILL BE ACCURATE OR FREE FROM FALSE POSITIVES OR FALSE NEGATIVES. YOU SHOULD NOT RELY SOLELY ON THE SOFTWARE FOR THE PROTECTION OF PERSONS OR PROPERTY.

AI Disclaimer

AI-POWERED FEATURES INCLUDING OBJECT DETECTION, SCENE ANALYSIS, AND CONVERSATIONAL AI ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. AI OUTPUTS MAY CONTAIN ERRORS, INACCURACIES, OR HALLUCINATIONS. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING AND ACTING UPON ANY INFORMATION PROVIDED BY AI FEATURES.

AI-Generated Content

STORIES, DESCRIPTIONS, QUESTIONS AND OTHER CONTENT GENERATED BY AI IN STORYBOARD ARE PRODUCED AUTOMATICALLY, MAY BE INACCURATE, INCOMPLETE OR UNSUITABLE, AND DO NOT REPRESENT THE VIEWS OF SHARPAI. REVIEW GENERATED CONTENT BEFORE YOU SHARE IT. YOU ARE RESPONSIBLE FOR HOW YOU USE IT.

8. Limitation of Liability

YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY PROBLEMS OR DISSATISFACTION WITH THE SOFTWARE IS TO UNINSTALL THE SOFTWARE AND STOP USING THE SERVICES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SHARPAI, ITS OFFICERS, SHAREHOLDERS, EMPLOYEES, AGENTS, DIRECTORS, SUBSIDIARIES, OR AFFILIATES BE LIABLE FOR: (A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES; (B) ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS (WHETHER DIRECT OR INDIRECT), ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, SERVICES, OR THIRD-PARTY PRODUCTS; OR (C) AGGREGATE LIABILITY EXCEEDING FIFTY U.S. DOLLARS ($50.00).

These Terms do not limit SharpAI's liability for fraud, fraudulent misrepresentation, or death or personal injury to the extent that applicable law would prohibit such a limitation.

9. Indemnification

You will indemnify, defend, and hold harmless SharpAI, its directors, officers, employees, and representatives from and against any damages, losses, and expenses (including reasonable attorneys' fees) arising out of: (a) Your breach of these Terms; (b) Your Content; (c) Your use of the Software or Services; or (d) Your violation of any law or the rights of a third party.

10. Privacy

Your use of the Software is also governed by our Privacy Policy, which applies to all of our products and describes the information we collect, how we use it, and your choices.

11. Term and Termination

Term

These Terms are effective from the date You first download or use the Software and continue until terminated.

Termination

You may terminate these Terms at any time by uninstalling the Software and ceasing all use. SharpAI may terminate these Terms at its discretion upon notice via the website or the Software.

Storyboard Accounts

You may delete Your Storyboard account at any time in the app (Me › Delete Account). Deletion has a 30-day grace period during which You can undo it; after that Your account and Content are deleted as described in the Privacy Policy. Your Storyboard and Aegis accounts share one sign-in, so deleting the account deletes both. SharpAI may suspend or terminate an account that violates these Terms or the law, and will give notice where practicable.

Effects of Termination

Upon termination: (a) all license rights granted under these Terms immediately cease; and (b) You must promptly uninstall the Software and destroy all copies in Your possession.

12. Payment, Subscriptions & Refunds

Subscription Renewal and Cancellation

Paid subscription fees are billed in advance on a recurring basis for the billing period You select and are non-refundable except as expressly set out in this Section 12. If You cancel a subscription, the cancellation takes effect at the end of Your current paid billing period — You retain access through that period, and no refund is issued for the period already paid.

Usage Already Consumed

Fees corresponding to usage, credits, tokens, or other consumption-based allowances that You have already consumed are not refundable under any circumstances, including in connection with the grace-period and legally-required refunds described below.

New-Subscriber Grace Period

If You are a new subscriber, You may request a full refund of Your first payment within fourteen (14) days of that payment, provided You have not consumed any usage, credits, or tokens under the subscription during the billing period covered by that payment. Any usage during that period, however small, makes the payment ineligible for a grace-period refund; this is a bright-line condition, not a matter of degree.

Refunds Required by Applicable Law

Where applicable law in Your jurisdiction grants You a statutory right of withdrawal or cancellation (for example, a cooling-off period under consumer-protection law), SharpAI will honor that right as required by such law, including issuing a refund prorated for any usage already consumed where the applicable law permits proration. Nothing in this Section 12 limits any non-waivable statutory right You may have under the law of Your jurisdiction, and this Section will be interpreted to give effect to those rights to the extent they apply to You.

Plan Upgrades

If You upgrade to a higher-tier plan during a billing period, the unused, unconsumed portion of Your prior plan's payment for that period is credited toward Your new plan rather than refunded in cash. Any such credit is applied automatically at the time of upgrade.

Billing Errors

If You are charged in error — including a duplicate charge, an incorrect amount, or a charge not authorized by You — contact us using the information in Section 14 and we will correct the error and refund the erroneous amount. This is a correction of a billing mistake, not a discretionary refund, and is not subject to the limitations described elsewhere in this Section 12.

How to Request a Refund

To request a refund under this Section 12, contact us using the information in Section 14. We may ask You to confirm Your account and the billing period at issue in order to process Your request.

13. General Provisions

  • Governing Law — These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
  • Entire Agreement — These Terms, together with the Privacy Policy, constitute the entire agreement between You and SharpAI regarding the Software.
  • Severability — If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver — No waiver of any provision of these Terms will be effective unless in writing and signed by SharpAI.
  • Assignment — You may not assign these Terms without SharpAI's prior written consent. SharpAI may assign these Terms freely.
  • Updates to These Terms — SharpAI may update these Terms from time to time. For material changes we will notify You in the app or by email before they take effect. Continued use of the Software after changes take effect constitutes acceptance of the updated Terms; if You do not accept them, You may stop using the Software and, if You have an account, delete it.
  • Consumer Rights — Nothing in these Terms limits mandatory consumer-protection rights that apply to You under the law of the country where You live.
  • Previous Versions — These Terms replace the Terms of Use effective February 27, 2026, which covered the Aegis desktop application only. The earlier version is available on request from service@sharpai.org.

Aegis desktop

The Aegis desktop app is licensed under sections 3 to 9 and the disclaimers in section 7, including the Security System Disclaimer, which applies only to the Aegis desktop app. Section 12 (payments) applies to paid plans.

Aegis AI API

The Aegis AI API routes Your requests to upstream model providers on Your behalf. Requests and responses pass through our cloud infrastructure, and the data terms of Your plan are set out in Part B of the Privacy Policy. Upstream providers process requests under their own terms. Section 12 (payments) applies.

Storyboard (故事工坊)

  • Accounts and age — You sign in with Apple or Google and must be at least 16. Children may appear in Content that an adult adds but may not hold an account.
  • Family sharing — Content You add is visible to the family members You invite and to anyone You give a share link to. You decide who to invite and share with.
  • AI features — Features that send photos or text to AI services run only after You agree in the app. See the Privacy Policy, Part C, and the AI-Generated Content disclaimer in section 7.
  • Purchases and credits — Purchases are processed by Apple or Google under their terms, and refunds follow the platform's rules and applicable law.
  • Deleting your account — See section 11.

Websites

You may browse sharpai.org and open Storyboard share links without an account. Do not misuse the sites, attempt to disrupt them, or access content that was not shared with You. How we handle website data is described in Part D of the Privacy Policy.
